Isaac Dzackah is the founder and director of nT3rm Transport Limited — and the kind of person who cannot see a gap in the market without quietly figuring out how to fill it. With a background spanning three law degrees, international commercial law, and hands-on paralegal experience across corporate, M&A, and commercial legal practice, Isaac brings a rare combination of rigorous analytical thinking and genuine entrepreneurial instinct to everything he does.

Born with an eye for opportunity and a heart for people, Isaac recognised the transport challenge facing millions of UK workers long before nT3rm existed. He saw agency workers, shift staff, and everyday commuters squeezed between public transport that stops at midnight and taxi fares they could not afford. He saw an industry gap — and, true to form, he decided to build the solution rather than wait for someone else to.

His legal training sharpens every decision nT3rm makes. From the driver contract to GDPR-compliant data handling, from the platform's commission structure to passenger safety policy — Isaac applies the same precision he brings to corporate documents and M&A due diligence to building a transport company that is legally sound, commercially smart, and genuinely fair.

Outside the boardroom, Isaac is equally at home volunteering with BPP University's StreetLaw programme — delivering free legal education to some of the UK's most underserved communities — and supporting access to justice initiatives across Birmingham. He brings that same spirit of service to nT3rm. This is not just a business. It is a platform built to genuinely help people.

Isaac is also, for the record, a man with a solid sense of humour, a deep Christian faith that anchors everything he does, and the kind of quiet confidence that comes from knowing both why you are doing something and exactly how to get it done.

After years working in law and observing the challenges faced by workers across the UK — particularly agency workers, night-shift staff, and commuters in the Midlands — Isaac identified the transport gap as a genuine, solvable problem that no existing platform was addressing properly.

nT3rm is born
The idea for nT3rm took shape — a carpooling platform where drivers heading to a destination share their seats with verified passengers going the same way. Simple, affordable, safe. The name nT3rm (the "3" replacing the "e" in "Term") reflects a new term, a new chapter, in how the UK commutes.

Building the platform
The full app prototype has been designed and developed — complete with passenger and driver flows, real-time matching, advance booking up to 30 days, company/agency filters, gamification, referral rewards, in-app chat, live tracking, and a transparent pricing engine. Every screen investor-ready.

Every document is reviewed by our team before a driver account goes live. There are no shortcuts and no exceptions. A driver whose documents lapse is automatically suspended until they are renewed and re-verified.

Every driver completes a government ID upload paired with a real-time selfie liveness check to confirm the person matches the documents provided.

Passengers who cancel repeatedly, arrive late, or behave inappropriately build a rating history that drivers can see before accepting a request. Drivers with low ratings are flagged for review and can lose platform access.

Star ratings + tags — rate from 1–5 stars and select descriptive tags: Clean car, On time, Safe driver, Friendly, Quiet ride — or the opposite if needed.
Ratings are visible before acceptance — drivers see your passenger rating before deciding whether to accept your request. A respectful track record benefits you.
Review triggers — any rating below 3 stars automatically alerts our safety team for follow-up. Patterns of low ratings lead to account investigation.
Optional tip — passengers can add a tip via card at the end of a trip. Tips go 100% to the driver. A small way to say thank you for a great ride.

The wait rule

Every driver on nT3rm is required to wait a minimum of five minutes at every agreed pickup point — on both outbound and return journeys. This rule exists to protect passengers who may be running slightly late without penalising drivers for waiting.

If a passenger does not arrive within the five-minute window, the driver may depart and a no-show fee of 50% of the booked fare is applied to the passenger, subject to review by nT3rm. This protects drivers' time and income.

5 minutes at all pickups
Applies to outbound and return pickups equally. Drivers must begin the countdown timer from the agreed meeting point — not from a nearby location.
No-show fee — 50% of fare
If the passenger fails to arrive within 5 minutes, 50% of the booked fare is charged. This is subject to review by nT3rm's safety team if disputed.
Use in-app chat first
Before leaving, drivers are encouraged to message the passenger via the in-app chat. A simple "I'm at the pickup point — are you nearby?" can resolve most situations.

Fares start from a minimum of £3.00 per passenger. The standard rate is £0.067 per minute, with a base cap of £10.00 reached at 2 hours 30 minutes. If a driver declines your request or doesn't respond within the 3-minute window, you are automatically returned to the results list to select your next best match — no manual action required. Isaac Dzackah is the founder and director of nT3rm Transport Limited — and the kind of person who cannot see a gap in the market without quietly figuring out how to fill it. With a background spanning three law degrees, international commercial law, and hands-on paralegal experience across corporate, M&A, and commercial legal practice, Isaac brings a rare combination of rigorous analytical thinking and genuine entrepreneurial instinct to everything he does.

Born with an eye for opportunity and a heart for people, Isaac recognised the transport challenge facing millions of UK workers long before nT3rm existed. He saw agency workers, shift staff, and everyday commuters squeezed between public transport that stops at midnight and taxi fares they could not afford. He saw an industry gap — and, true to form, he decided to build the solution rather than wait for someone else to.

His legal training sharpens every decision nT3rm makes. From the driver contract to GDPR-compliant data handling, from the platform's commission structure to passenger safety policy — Isaac applies the same precision he brings to corporate documents and M&A due diligence to building a transport company that is legally sound, commercially smart, and genuinely fair.

Outside the boardroom, Isaac is equally at home volunteering with BPP University's StreetLaw programme — delivering free legal education to some of the UK's most underserved communities — and supporting access to justice initiatives across Birmingham. He brings that same spirit of service to nT3rm. This is not just a business. It is a platform built to genuinely help people.

After years working in law and observing the challenges faced by workers across the UK — particularly agency workers, night-shift staff, and commuters in the Midlands — Isaac identified the transport gap as a genuine, solvable problem that no existing platform was addressing properly.

The idea for nT3rm took shape — a carpooling platform where drivers heading to a destination share their seats with verified passengers going the same way. Simple, affordable, safe. The name nT3rm (the "3" replacing the "e" in "Term") reflects a new term, a new chapter, in how the UK commutes.

Every document is reviewed by our team before a driver account goes live. There are no shortcuts and no exceptions. A driver whose documents lapse is automatically suspended until they are renewed and re-verified.

Every driver completes a government ID upload paired with a real-time selfie liveness check to confirm the person matches the documents provided.

A full, valid UK driving licence is required. We verify the licence category, expiry date, and check it against submitted identity documents.

Vehicle inspection and insurance verification

Ratings are visible before acceptance — drivers see your passenger rating before deciding whether to accept your request. A respectful track record benefits you.
Review triggers — any rating below 3 stars automatically alerts our safety team for follow-up. Patterns of low ratings lead to account investigation.

The wait rule

Every driver on nT3rm is required to wait a minimum of five minutes at every agreed pickup point — on both outbound and return journeys. This rule exists to protect passengers who may be running slightly late without penalising drivers for waiting.

If a passenger does not arrive within the five-minute window, the driver may depart and a no-show fee of 50% of the booked fare is applied to the passenger, subject to review by nT3rm. This protects drivers' time and income.

Applies to outbound and return pickups equally. Drivers must begin the countdown timer from the agreed meeting point — not from a nearby location.
No-show fee — 50% of fare
If the passenger fails to arrive within 5 minutes, 50% of the booked fare is charged. This is subject to review by nT3rm's safety team if disputed.

Fares start from a minimum of £3.00 per passenger. The standard rate is £0.067 per minute, with a base cap of £10.00 reached at 2 hours 30 minutes. Drivers on nT3rm are making a journey they were already planning — they are simply offering spare seats to passengers heading the same way. nT3rm provides the technology that connects both sides. Drivers are independent self-employed individuals, not nT3rm employees.

nT3rm is built specifically for the UK's shift economy — the millions of people on early starts, late finishes, and night shifts who cannot rely on public transport. Agency workers, warehouse staff, NHS workers, factory workers, and anyone who commutes regularly between Midlands cities will find nT3rm particularly useful. However, any adult making a regular commute or journey is welcome — as a passenger or a driver.

Yes. All users — passengers and drivers — must create a verified account before making or offering any bookings. This includes verifying your email address, phone number, and completing an identity check. This keeps everyone on the platform accountable and safe.

Open the app, enter your destination, set the date and the time you need to arrive by — and nT3rm finds available drivers already heading that way. You can filter results by your employer or agency to find colleagues making the same commute. Select a driver, see the full fare breakdown, confirm your booking, and the driver has 3 minutes to accept. Once confirmed, you get the driver's details and live tracking on the day.

You can book up to 30 calendar days in advance. The minimum advance booking time is 2 hours before the driver's posted departure time.

Instead of searching by departure time, you tell nT3rm what time you need to arrive. The platform then shows you only drivers whose trip will get you there on time — colour-coded as green (arrives early), blue (arrives on time), and amber (arrives slightly late). This is especially useful for shift workers who must clock in at a specific time.

Yes. Where a driver has posted a return trip, you can book both legs at the same time from a single booking screen.

Yes. You can book a seat for another existing nT3rm user by entering their referral code. You can also invite a new user — they receive an SMS link and have 8 minutes to register and confirm their seat before it is released back to the pool.

Drivers are required to arrive at the agreed pickup point on time. You can track your driver's live location in the app before they arrive. If the driver cancels a confirmed booking, you receive a full refund automatically and are returned to the search results to find an alternative driver.

If you add your employer or agency name to your profile, you can filter search results to only show drivers who have listed the same employer or agency. This helps colleagues share commutes — particularly useful for agency workers placed at the same site.

Some drivers offer door-to-door service, which means they collect you from your home address and drop you at your exact destination, rather than a fixed vantage pickup point. This option carries a small extra charge. The driver accepts or declines your door-to-door request separately from accepting your main booking.

Download the app and complete the 4-step driver registration: (1) personal details, (2) driving licence, DBS check, and identity verification, (3) vehicle details and insurance upload, (4) e-sign the Driver Services Agreement and set your surcharge. Once approved by the nT3rm team — typically within 24–48 hours — your account goes live.

Not automatically. Standard social, domestic, and pleasure (SDP) car insurance does not cover carrying passengers who contribute to costs. You need a policy that explicitly covers carpooling, cost-sharing, or private hire. Many insurers offer this as an add-on or as a separate policy type. It is your responsibility as a driver to ensure your insurance covers this use. nT3rm cannot accept liability for any gap in cover.

No. Drivers on nT3rm are independent self-employed contractors. You choose when to post trips, which bookings to accept, and how often you drive. You are responsible for your own tax, National Insurance contributions, and compliance with all applicable laws. We recommend registering as self-employed with HMRC if you have not already done so.

In the driver app, tap "Post a Trip", enter your route, departure date and time, number of available seats, and your vantage pickup point. You can also enable door-to-door, add a return trip time, restrict the trip to your employer's colleagues, and set the trip to repeat weekly. Your trip is then visible to passengers searching that route.

You receive a push notification with the passenger's name, photo, rating, and the fare breakdown showing your net earnings. You have 3 minutes to accept or decline. If you accept, the booking is confirmed and the passenger's payment is captured. If you do not respond within 3 minutes, the request is automatically released and the passenger is shown the next available driver.

nT3rm has four driver levels: Starter (Level 1, 0–99 trips), Active (Level 2, 100–199 trips), Priority (Level 3, 200–399 trips), and Elite (Level 4, 400+ trips). Higher levels mean increased visibility in search results, faster payouts, priority support, and exclusive bonuses. Your level progress is visible on your driver dashboard.

Yes — you are required to wait a minimum of 5 minutes from your arrival at the agreed pickup point. If the passenger does not arrive within 5 minutes, you may depart and a no-show charge of 50% of the fare is applied to the passenger's account. You receive this amount less commission.

Fares on nT3rm are time-based. The standard rate is £0.067 per minute, with a minimum fare of £3.00. The base fare is capped at £10.00, reached at approximately 2 hours 30 minutes. For longer journeys beyond 2h 30m, an extended rate of £0.08/min plus £0.50/mile applies simultaneously. The driver may also add their own surcharge within limits set by nT3rm. The full fare breakdown is always shown before you confirm any booking.

No. nT3rm does not use surge pricing. The fare shown at the time of booking is the fare you pay — it does not change based on demand, time of day, or any other factor.

nT3rm's commission is 10% for trips within the same city and 15% for city-to-city trips. Tips from passengers are passed 100% to the driver — nT3rm takes no commission on tips. Founding drivers who pre-register get a reduced commission rate on their first rides at launch.

Net earnings are credited to the driver's in-app wallet after each completed trip. Drivers can withdraw their wallet balance to their UK bank account at any time. Payouts are processed through Stripe Connect. Bank account details are held securely by Stripe — nT3rm does not store your bank details.

Passengers can pay by card (Visa, Mastercard, and other major cards) or cash. Card payments are processed securely by Stripe. nT3rm does not store your card details — only a secure reference is kept.

Yes. After every completed trip, passengers can leave an optional tip through the app. Tips go 100% to the driver. nT3rm takes no commission on tips. Tips can be paid by card only.

Refunds are processed for cancelled bookings in accordance with our cancellation policy shown in the app. If a driver cancels a confirmed booking, you receive a full refund automatically. Refunds are returned to your original payment method within 5–7 business days.

Every driver on nT3rm must pass a DBS (Disclosure and Barring Service) background check, complete a selfie identity verification matched against their driving licence, upload a valid insurance certificate covering passenger-carrying, and have their vehicle details verified. Drivers are manually reviewed by the nT3rm team before their account goes live. Documents are checked for expiry and drivers are automatically suspended if any document lapses.

No. All communication between passengers and drivers takes place through the in-app chat function only. Your personal phone number is never shared with other users on the platform.

Yes. During an active trip, you can see the driver's live GPS location updating every few seconds on the map. You can also share a live tracking link with a trusted friend or family member so they can follow your journey in real time — without needing to download the app.

The SOS button is always visible on your active trip screen and cannot be accidentally hidden. A single tap gives you options including calling 999 directly, sharing your live location with emergency contacts, and submitting an urgent safety report to the nT3rm safety team. Your trip details and driver information are automatically attached.

Always check the driver's name, photo, and vehicle registration shown in the app before getting in. If anything does not match — do not get in. Contact the nT3rm safety team immediately through the app. This simple check takes seconds and is your first line of safety.

You can report any concern directly through the app after a trip, or at any time by emailing [email protected]. All safety reports are reviewed by the nT3rm safety team within 24 hours. In an emergency, always call 999 first.

Pre-registration lets you reserve your spot on the nT3rm platform before the app officially launches. It takes under 2 minutes, requires no payment, and no documents. Your place is confirmed with a reference number and you receive a notification the moment the app is live.

The first 250 passengers to pre-register receive either a completely free first ride or a discount on their first two trips when the app launches. This reward is applied automatically to your account — no code needed. You just need to register using the same email address you used to pre-register.

The first 100 drivers to pre-register receive reduced commission on their first rides when the app launches — meaning they keep more of every fare from the start. They also receive founding driver status, priority visibility in passenger search results, and a head start toward Level 2 in the driver progression system.

You can still pre-register. You will be placed on the priority waiting list and still receive a launch notification. While you will not receive the founding member discount or reduced commission, you will still receive standard welcome rewards when you register on the app.

When you pre-register, there is an optional field to enter the full name of the person who told you about nT3rm. When the app launches, that person's account is credited with reward points. The more times someone's name is used, the more points they accumulate — which convert to discounts, free rides, and bonuses. The person pre-registering still receives their full early access discount regardless of whether they name a referrer.

nT3rm has a four-level passenger rewards system — Bronze (0–999 points), Silver (1,000–4,999 points), Gold (5,000–19,999 points), and Platinum (1,000 points entry, up to 20,000 gold points with a priority star). Points are earned by completing trips and through referrals. Higher levels unlock discounts, free rides, and priority booking benefits. Pre-registration referral points carry forward into your full account when the app launches.

When the app launches, downloading it from the App Store or Google Play earns you additional bonus points on top of your pre-registration rewards. The app also gives you the full live tracking experience, push notifications for bookings and driver arrivals, in-app chat, and a faster, smoother booking experience compared to the website.

The Driver's full legal name, date of birth, address, and contact details are as submitted during the driver registration process and confirmed in the e-signature section below.

This Agreement governs the terms under which the Driver accesses and uses the nT3rm platform to offer carpooling services to Passengers. Both parties should read this Agreement carefully before the Driver e-signs. By signing, the Driver confirms they have read, understood, and agreed to all terms set out below.


Clause 1

Definitions and Interpretation

In this Agreement, the following terms have the meanings set out below:

"Commission"The percentage of the Fare retained by nT3rm as its platform service fee, as set out in Schedule 1 and subject to variation in accordance with Clause 9.
"DBS Check"A Disclosure and Barring Service check undertaken in respect of the Driver in accordance with Clause 4.
"Effective Date"The date on which the Driver e-signs this Agreement during the driver registration process on the Platform.
"Fare"The amount payable by a Passenger for a Booking, calculated in accordance with the Pricing Engine as set out in Schedule 1.
"Net Earnings"The amount payable to the Driver for a completed Booking — being the Fare, less the Commission, less any applicable deductions or refunds.
"Passenger"A registered user of the Platform who books one or more seats on a Trip posted by a Driver.
"Platform"The nT3rm technology platform operated by the Company, comprising the App, the website at www.nt3rm.com, and the associated backend systems.
"Services"The carpooling services provided by the Driver to Passengers through the Platform.
"Surcharge"An additional per-trip charge set by the Driver within the limits prescribed by the Company, displayed to Passengers as part of the Fare breakdown.
"Trip"A journey posted by the Driver on the Platform, setting out the route, departure time, available seats, pickup point, and Fare details.
"UK GDPR"The UK General Data Protection Regulation as incorporated into UK law by the European Union (Withdrawal) Act 2018, together with the Data Protection Act 2018.
"Verification Requirements"The documents, checks, and conditions required of the Driver under Clause 4 of this Agreement.

1.1 In this Agreement, references to "including" or "such as" are illustrative and not limiting. Headings are for convenience only. References to statutes include amendments and re-enactments.


Clause 2

Appointment and Status

  1. The Company grants the Driver a non-exclusive, non-transferable right to access and use the Platform to offer carpooling Services to Passengers, subject to the terms of this Agreement.
  2. The Driver is an independent self-employed contractor. Nothing in this Agreement creates or implies any relationship of employment, agency, partnership, or joint venture between the Driver and the Company.
  3. The Driver has no authority to bind the Company contractually, to make representations on behalf of the Company, or to hold themselves out as an employee, agent, or representative of the Company.
  4. The Driver is solely responsible for all tax obligations arising from income earned through the Platform, including income tax and National Insurance contributions. The Driver is advised to register as self-employed with HMRC if they have not already done so.
  5. The Driver is free to provide services through other platforms, provided this does not conflict with the terms of this Agreement or applicable law.
  6. The Company does not guarantee any minimum number of Bookings, any minimum level of income, or any minimum usage of the Platform.

Clause 3

Nature of the Services

  1. The Driver agrees to use the Platform to post Trips on routes they are already travelling, offering available seats to Passengers heading to the same or proximate destinations.
  2. The Driver acknowledges that nT3rm is a technology platform that facilitates connections between Drivers and Passengers. nT3rm does not provide transport services, is not a carrier, and does not employ Drivers to carry Passengers.
  3. The Driver provides the Services in their own name, using their own vehicle, at their own discretion as to when and how often they post Trips.
  4. The Driver may set their own Surcharge within the minimum and maximum limits prescribed by the Company. The Surcharge is displayed to Passengers before they confirm a Booking.
  5. The Driver may accept or decline any Booking request within the three-minute acceptance window. Repeated unexplained declines may affect the Driver's response rate metric and level progression.
  6. Where the Driver has enabled door-to-door service, the decision to accept or decline a door-to-door request is at the Driver's sole discretion and is independent of their acceptance of the main Booking.
  7. The Driver may set Trips to recur on a weekly schedule and is responsible for ensuring that posted recurring Trips remain accurate. The Driver must cancel or amend recurring Trips promptly if their circumstances change.

Clause 4

Eligibility and Verification Requirements

The Driver must meet all of the following requirements at all times during the term of this Agreement.

4.1 Driver Requirements
  1. Hold a full, valid United Kingdom driving licence appropriate for the vehicle to be used.
  2. Be of the minimum driving age required by UK law and not be disqualified from driving.
  3. Pass a Disclosure and Barring Service (DBS) check to the standard required by the Company. The Driver consents to such a check being conducted via the Company's appointed provider.
  4. Complete a selfie liveness identity check, matching the Driver's face against their submitted driving licence photograph, via the Company's designated identity verification provider.
  5. E-sign this Agreement through the registration process on the Platform.
4.2 Vehicle Requirements
  1. The vehicle must be registered in the United Kingdom and be road-legal at all times.
  2. The Driver must hold a valid motor insurance policy that explicitly covers the use of the vehicle for carpooling or private hire purposes, including cover for fare-paying or contribution-paying passengers. It is the Driver's sole responsibility to ensure their insurance policy covers passenger-carrying under the nT3rm model. The Company accepts no liability for any gap in cover.
  3. The vehicle must hold a valid MOT certificate where required by UK law.
  4. The vehicle must be maintained in a clean, roadworthy, and mechanically sound condition at all times.
  5. The vehicle must have a minimum of two available passenger seats. The Driver may offer a maximum of five passenger seats per Trip.
4.3 Document Renewal
  1. The Driver must upload renewed documents before the expiry of any document listed in this Clause 4. The Platform sends automated reminders at 60 days, 30 days, and 7 days before expiry.
  2. The Driver's account will be automatically suspended if any Verification Requirement lapses, and reinstated once a valid renewed document is approved by the Company.
  3. The DBS check must be renewed every three years, or such other period as the Company may notify.

Clause 5

Platform Rules and Code of Conduct

5.1 Driver Obligations

The Driver agrees to comply with the following obligations at all times when using the Platform:

  1. Treat all Passengers with courtesy, dignity, and respect regardless of any protected characteristic under the Equality Act 2010.
  2. Arrive at the agreed vantage pickup point on time and wait a minimum of five (5) minutes for the Passenger before departing. This applies to both outbound and return journeys.
  3. Communicate with Passengers exclusively through the in-app chat function. The Driver must not share personal contact details with Passengers or solicit such details from Passengers.
  4. Drive safely and in compliance with all UK road traffic laws, including strict adherence to speed limits at all times.
  5. Not drive under the influence of alcohol, drugs, or any substance that may impair driving ability.
  6. Keep the vehicle clean, tidy, and in a condition suitable for carrying passengers.
  7. Not solicit, accept, or arrange Bookings or payments outside of the Platform. All Trips and payments must be conducted through the App.
  8. Rate Passengers honestly and fairly after each completed Trip.
  9. Not discriminate against any Passenger or refuse a Booking on the basis of a protected characteristic under the Equality Act 2010.
  10. Notify the Company promptly if the Driver is charged with, convicted of, or cautioned for any criminal offence, or if any circumstances arise that may affect their suitability to carry passengers.
5.2 Prohibited Conduct

The following conduct may result in immediate suspension or permanent termination of the Driver's account:

  • Providing false, misleading, or inaccurate information during registration or at any point during the term of this Agreement.
  • Allowing any other person to use the Driver Account or to drive in the Driver's place.
  • Using a vehicle that does not match the registered vehicle details on the Driver Account.
  • Engaging in any form of harassment, intimidation, or threatening behaviour towards any Passenger or Company personnel.
  • Recording Passengers by audio, video, or any other means without their explicit consent.
  • Representing to Passengers that the Driver is an employee or agent of the Company.
  • Using the Platform for any purpose other than posting and completing legitimate carpooling Trips.
  • Engaging in any conduct that brings or is likely to bring the Company into disrepute.
  • Attempting to circumvent the Commission, the Pricing Engine, or the payment system.

Clause 6

Passenger No-Show Policy

  1. If a Passenger fails to arrive at the agreed pickup point within five (5) minutes of the Driver's arrival, the Driver may depart. The Driver is encouraged to send a message via in-app chat before departing.
  2. Where a Passenger fails to arrive within the five-minute period, a no-show charge of fifty per cent (50%) of the applicable Fare will be charged to the Passenger. This amount, less Commission, will be credited to the Driver's wallet.
  3. The no-show charge is subject to review by the Company in the event of a dispute raised by either party. The Company's decision on any such dispute is final.
  4. The Driver must not charge any amount to a Passenger other than through the Pricing Engine on the Platform.

Clause 7

Earnings, Commission, and Payment

  1. The Company calculates the Fare for each Booking using the Pricing Engine. Current parameters are set out in Schedule 1.
  2. Net Earnings payable to the Driver are calculated as the Fare, less the applicable Commission, less any refunds or deductions arising under this Agreement.
  3. Tips paid by Passengers through the Platform are passed to the Driver in full. The Company takes no Commission on tips.
  4. Net Earnings are credited to the Driver's in-app wallet on completion of each Trip. The Driver may withdraw their wallet balance to their nominated UK bank account at any time, subject to any minimum withdrawal threshold set by the Company.
  5. Payments to the Driver's bank account are processed through Stripe Connect. The Driver must complete Stripe Connect onboarding during registration. Bank account details are held by Stripe and are not stored by the Company.
  6. The Company provides a full earnings breakdown per Trip — gross Fare, Commission deducted, and Net Earnings — accessible through the Driver's earnings dashboard in the App.
  7. In the event of a Booking cancellation, refund, or chargeback, the Company reserves the right to reverse or withhold the relevant amount from the Driver's wallet. The Driver will be notified of any such reversal.
  8. The Driver is solely responsible for declaring all income earned through the Platform to HMRC and for paying all applicable taxes and National Insurance contributions. The Company does not withhold tax on the Driver's behalf.

Clause 8

Door-to-Door Service

  1. The Driver may elect to enable the door-to-door service option on any Trip, allowing Passengers to request collection from and delivery to specific addresses rather than a vantage pickup point.
  2. Where a Passenger requests door-to-door service, the Driver receives a separate notification to accept or decline this element. This decision is independent of the Driver's acceptance of the main Booking.
  3. Where the Driver accepts a door-to-door request, an additional charge is added to the Passenger's Fare by the Pricing Engine. This amount, less Commission, is credited to the Driver.
  4. The Driver is under no obligation to enable or accept door-to-door requests.

Clause 9

Commission Rates and Pricing

  1. The Commission rates applicable to this Agreement are set out in Schedule 1. The Company may amend the Commission rates or Pricing Engine parameters at any time on not less than fourteen (14) days' prior written notice through the App or by email.
  2. Where the Driver does not accept the revised rates, the Driver may terminate this Agreement before the revised rates take effect. Continued use of the Platform after the effective date of any change constitutes acceptance of the revised rates.
  3. The Driver may set their Surcharge at any amount between the minimum and maximum limits notified by the Company. The Company may amend these limits on fourteen (14) days' notice.
  4. Fares are shown to Passengers in full before Booking confirmation, inclusive of the Driver's Surcharge and the Company's Commission. There is no surge pricing on the Platform.

Clause 10

Driver Levels and Gamification

  1. The Platform operates a four-level driver system: Starter (Level 1), Active (Level 2), Priority (Level 3), and Elite (Level 4). Level progression is based on completed Trips and other performance metrics determined by the Company.
  2. Higher-level Drivers benefit from increased visibility in passenger search results and may be eligible for additional incentives at the Company's discretion. The Company makes no guarantee as to any minimum level of benefit or bonus.
  3. The Company reserves the right to amend level thresholds, names, and associated benefits at any time on notice through the App.

Clause 11

Intellectual Property

  1. All intellectual property rights in the Platform, App, nT3rm brand, and all associated materials are owned by the Company. Nothing in this Agreement grants the Driver any rights in the Company's intellectual property.
  2. The Driver grants the Company a non-exclusive, royalty-free licence to use the Driver's name, profile photograph, vehicle details, and ratings data for the purpose of operating the Platform.
  3. The Driver must not use the nT3rm name, logo, or any associated branding without the prior written consent of the Company.

Clause 12

Data Protection and Privacy

  1. Both parties shall comply with their respective obligations under the UK GDPR and the Data Protection Act 2018.
  2. The Company processes the Driver's personal data in accordance with its Privacy Policy, accessible through the App and at www.nt3rm.com. The Driver confirms they have read and understood the Privacy Policy.
  3. The Driver's personal data is processed for the purposes of: operating the Driver Account; processing payments; conducting Verification Requirements; complying with legal obligations; and improving the Platform.
  4. The Company may share the Driver's name, vehicle details, and ratings with Passengers to the extent necessary to facilitate Bookings. The Company does not sell the Driver's personal data to third parties.
  5. The Driver must not process any personal data relating to Passengers other than as strictly necessary to perform the Services. The Driver must not retain, share, or misuse any Passenger data obtained through the Platform.

Clause 13

Liability and Indemnity

  1. The Company provides the Platform on an "as is" and "as available" basis and does not warrant that it will be uninterrupted or error-free.
  2. The Company is not a transport provider and does not accept liability for any loss, injury, damage, or claim arising from the Services provided by the Driver to Passengers.
  3. The Driver is solely responsible for the safety and roadworthiness of their vehicle, their driving conduct, and the safety of Passengers during a Trip.
  4. The Driver shall indemnify and hold harmless the Company from any claims, losses, damages, costs, and expenses arising from: (a) the Driver's breach of this Agreement; (b) the Driver's negligence or wilful misconduct; (c) any claim by a Passenger arising out of the Services; or (d) the Driver's breach of any applicable law.
  5. Nothing in this Agreement limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
  6. Subject to Clause 13.5, the Company's total liability to the Driver shall not exceed the total Net Earnings paid to the Driver in the three (3) months preceding the event giving rise to the claim.

Clause 14

Term and Termination

  1. This Agreement commences on the Effective Date and continues indefinitely until terminated in accordance with this Clause.
  2. Either party may terminate this Agreement at any time on not less than fourteen (14) days' written notice. The Driver may give notice through the App or by email. The Company will send notice to the Driver's registered email address.
  3. The Company may suspend or terminate the Driver Account immediately and without notice in the event of:
    1. a serious or persistent breach of this Agreement;
    2. the Driver's conviction for, or caution in respect of, a criminal offence that renders them unsuitable to carry passengers;
    3. failure to maintain valid Verification Requirements;
    4. the Driver's driving disqualification or suspension;
    5. reasonable suspicion of fraud, dishonesty, or misconduct;
    6. a material failure of the Driver's insurance cover; or
    7. any conduct that poses a risk to the safety of Passengers or others.
  4. On termination: the Driver's Platform access ceases; pending Bookings are cancelled and Passengers refunded; and Net Earnings accrued at the date of termination are paid to the Driver within a reasonable period, subject to permitted deductions.
  5. Clauses 11, 12, 13, 17, and this Clause 14.5 survive termination of this Agreement.

Clause 15

Amendments to This Agreement

  1. The Company may amend this Agreement at any time on not less than fourteen (14) days' prior notice through the App or by email to the Driver's registered address.
  2. If the Driver does not accept the amendments, they may terminate this Agreement before the amendments take effect. Continued use of the Platform after the effective date constitutes acceptance of the amended Agreement.
  3. The version number and effective date of the Agreement are displayed within the App. Drivers can view the version they have signed through their Driver Account at any time.

Clause 16

General Provisions

  1. This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior agreements and understandings.
  2. If any provision is found to be invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force and effect.
  3. Failure to enforce any provision does not constitute a waiver of any party's rights to enforce that or any other provision in the future.
  4. The Driver may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Company.
  5. This Agreement does not create any rights enforceable by any third party under the Contracts (Rights of Third Parties) Act 1999.
  6. Notices to the Company shall be sent to [email protected]. Notices to the Driver shall be sent to their registered email address on the Platform.

Clause 17

Governing Law and Dispute Resolution

  1. This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the law of England and Wales.
  2. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.
  3. Before commencing legal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation. Either party may escalate to formal proceedings if the dispute is not resolved within twenty-one (21) days of written notice of the dispute.
